- Introduction
These Terms of Use govern your ("You" or "Your") access to and use of Terna Systems AB’s ("We" or "Terna") Websites and/or Software. By accessing or using the Website and/or Software, You agree to be bound by these Terms of Use.
- Scope
This document regulates the terms of:
- Use of Terna’s website, namely www.ternasystems.com, that can be accessed and used by everyone, subject to the exception indicated below ("Website");
- Use of Terna’s software products:
- Web and mobile applications, available only to our customers who have a subscription agreement for our software services, partners who have a partnership agreement with Terna, or prospects with demo access, and can be used only by persons authorized by our customers or partners.
- Applications’ components or connectors made available for download via trusted marketplaces (e.g., AppSource), intended to be used with Terna’s subscription-based web and mobile applications.
You may freely visit and use our Website and its content without revealing any personal information about yourself. However, individuals who have not reached the age of majority are not eligible to use the Website, and we request that no information related to such individuals be submitted to us.
Our Website provide access to a wide range of resources and content, including but not limited to up-to-date information about Terna and its services, engaging articles, images, photographs, graphics, audio files, videos and product-related material such as white papers, brochures, presentations, and data sheets, etc. (“Content”). In many cases, you may also have the option to download specific Content related to our services.
By accessing or using the Website or the Content available through it, you agree to comply with and be bound by these Terms of Use governing your access to and use of the Website and its Content.
SoftwareThe terms of use for our Software are governed by an agreement between Terna and its customer or partner, which is the company with which you may be professionally associated. Consequently, these Terms of Use do not modify or supersede the terms of the agreement between Terna and its customer or partner, nor do they affect the way Terna provides its services. However, these Terms of Use apply to your use of our Software as an individual (natural person). References to Terna customers in these Terms of Use shall also apply to Terna prospects who have been granted access to demo versions of our Software. Similarly, all terms applicable to our customers’ users shall apply to our prospects’ users who have been granted access to demo versions.
You may access our Software only if you have valid authorization from a Terna customer or partner and have been provided with authorized login credentials. Under no circumstances may you attempt to gain unauthorized access to the Software or its related systems or networks.
You may use the Software solely within the scope agreed between Terna and the customer or partner with which you are associated. The scope and terms of services offered by Terna to its customers or partners are considered confidential business information and may only be disclosed to you by the customer or partner. Technical requirements for using our Software are detailed in the agreement between Terna and its customer or partner.
If a mobile application or other Software component is made available for download via trusted marketplaces (e.g., AppSource), Terna grants you a non-exclusive, limited, and revocable license to use such Software together with or as part of Terna subscription-based SaaS services. For clarity, you may use Terna proprietary subscription-based web and mobile applications only if you (or the company with which you are professionally associated) have entered into a valid subscription agreement with Terna or its authorized partner.
When using the Software (including components made available via trusted marketplaces) you must not:
- Allow unauthorized persons to access the Software;
- Create derivative works based on the Software;
- Copy, frame, or mirror any part or content of the Software, except as permitted for internal purposes by the customer or partner;
- Reverse engineer the Software;
- Access the Software to (a) create a competitive product or service, or (b) copy features, functions, or graphics;
- Share the Software with anyone other than authorized users;
- Sell, resell, rent, or lease the Software (unless permitted under a partnership agreement with Terna);
- Use the Software to store or transmit infringing, defamatory, or otherwise unlawful material, or to store or transmit material in violation of third-party privacy rights;
- Use the Software to store or transmit malicious code;
- Interfere with or disrupt the integrity or performance of the Software or third-party data contained therein.
By accessing and using the Software, you agree to comply with these Terms of Use.
By accessing and using the Website or Software, you also agree to our Privacy Policy.
Terna reserves the right to revise the Terms of Use and Privacy Policy at any time, without prior notice. If amendments are made, the updated versions will be promptly provided to ensure you are always informed. The revised Terms of Use and Privacy Policy become effective upon their availability.
- Use of the Content
You may download, store, display on your computer, view, listen to, play, and print the Content that Terna publishes on or broadcasts through its Website or makes available for download, subject to the following conditions:
- The Content may be used solely for your personal, informational and non-commercial purposes, unless expressly authorized by Terna;
- You must not present any Content from the Website as your own;
- The Content may not be modified or altered in any way without Terna’s prior written consent; and
- The Content may not be redistributed, reproduced, or publicly displayed without Terna’s prior written consent.
The Content of the Website is provided as a convenience to users and Terna is under no obligation to provide technical support for it.
Authorized users may use the content of the Software in accordance with condition (a) above and the terms of a separate agreement between Terna and its customer or partner.
- Online Communication Channels
Terna may provide communication channels on its Website or through third-party’s social networks (such as LinkedIn or Facebook) that allows users to communicate with Terna and others, as well as to share their thoughts or opinions through comments. These channels are designed to facilitate the dissemination and exchange of information about Terna’s products and services.
You acknowledge that all content posted in these communication channels is the sole responsibility of the individual who originally posted it. Additionally, You understand that opinions expressed in these channels do not necessarily reflect the views or opinions of Terna. Terna reserves the right to remove any content you post and/or terminate your access to these communication channels if, at its sole discretion, it deems your statements or behaviour to be inaccurate, obscene, defamatory, threatening, infringing on intellectual property rights, invasive of privacy, injurious, objectionable, or otherwise in violation of these Terms of Use or applicable laws.
You agree not to post any encryption source code, corresponding object code, software, technology, confidential information or instructions on Terna ’s online communication channels or anywhere else on its Website.
You also agree not to harvest or otherwise collect information about others, including email addresses, nor to use Terna’s communication channels or information obtained from them to send unsolicited emails of any kind to other users. Terna will not be responsible or liable for the accuracy or availability of any information posted on its communication channels or for any decisions made based on such information.
- Intellectual Property
The Content of the Website as well as Terna ’s Software, unless otherwise stated, constitute the intellectual property and copyrighted works of Terna. All rights, titles, and interests not expressly granted with respect to the Content and the Software are reserved. The “Terna” wordmark and logo are registered trademarks of Terna AB and all rights to them are reserved. These trademarks may not be used by any third party without the express written authorization of Terna.
- Your Representations
You agree not to use the Website or Software in ways that invade privacy, violate intellectual property rights, or breach applicable laws.
You agree not to use the Website or the Software in any manner that:
- Invades the privacy of others or includes, copies, or transmits another person’s confidential, sensitive, or personal information without proper authorization;
- Violates, infringes upon or promotes the violation or infringement of the rights of others, including but not limited to intellectual property rights;
- Violates or promotes the violation of any applicable laws or regulations; or
- Contains viruses, Trojan horses, or other malicious components designed to compromise, limit or harm the functionality of the Website or the Software.
You further agree not to:
- Access or use the Website or the Software in any manner that could damage, disable, overburden, or impair any Terna’s Software, accounts, computer systems or networks;
- Attempt to gain unauthorized access to Terna’s ’s Software, accounts, computer systems or networks;
- Interfere with or attempt to interfere with the proper functioning of the Website, the Software or any Terna ’s accounts, computer systems or networks;
- Use any automated means, such as robots, spiders or scrapers, to access the Website, the Software or any of Terna’s accounts, computer systems or networks.
Additionally, You agree not to use the Website, their Content, or the Software for any purpose that is unlawful or prohibited by these Terms of Use.
- Secure Access and Usage
Access to our Software is restricted to authorized users only. Unless otherwise agreed with Terna’s customer or partner, you may be required to enter your username and password on the login page. You agree not to share your password(s), account information or access with any other person. You are responsible for maintaining the confidentiality of your password(s) and account information, as well as for all activities conducted using your password(s) or account(s) or resulting from your access to the Software.
You acknowledge that the data and content presented or processed by the Software are based on business data owned by our customer or partner. Such data are strictly confidential under agreements with our customer or partner and must not be disclosed by you to any third party.
You agree to promptly notify Terna if you become aware of any unauthorized use of your password(s) or account(s) or about any other security breach. Unless agreed otherwise with the Terna ’s customer or partner, you must ensure that you log out of your account at the end of each session. Terna will not be liable for any loss or damage resulting from unauthorized use of your password(s) or account(s), whether or not you are aware of such use.
- Privacy Policy
Your privacy is of the utmost importance to Terna. We are committed to protecting your personal information and ensuring transparency in how it is handled. Our Privacy Policy, available on our Website, addresses privacy concerns and provides detailed information how Terna manages your personal data.
- Termination of Use
Terna reserves the right, at its sole discretion and at any time, to discontinue providing or restrict access to the Software, the Website, their parts, or any Content. You acknowledge and agree that Terna may, at its sole discretion, terminate or limit your access to or use of the Software, the Website, or any Content at any time. This includes situations where Terna determines, at its sole discretion, that you have infringed its copyrights or those of a third party.
You further agree that Terna shall not be held liable to you or any third party for any termination or restriction of your access to or use of the Software, the Websites, or their Content.
- Indemnification
You agree to indemnify, defend, and hold harmless Terna, its officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees and costs, arising out of or in connection with your violation of these Terms of Use or your infringement of any third-party rights, including intellectual property rights.
- Links to Third Party’s Websites, Content, Products, or Services
If Terna provides links to third-party websites, content, products, or services on its Website or within its Software, Terna is not responsible for the content provided by such third parties or for any changes or updates to their websites. As a user, you assume all risks associated with accessing to using such third-party websites, content, products, and services.
- Disclaimer
Except as expressly provided otherwise, the Website, the Content available on or through the Website, and the Software (including Software components made available for download via trusted marketplaces) are provided on an “as is” and “as available” basis. Terna expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement with respect to the Website, the Content provided on or through the Website, and the Software (including Software components made available for download via trusted marketplaces).
Terna makes no warranty that:
- The Website, the Content, or the Software (including Software components available for download via trusted marketplaces) will meet your requirements;
- The Website will be available without interruption, securely, or error-free;
- The results obtained from using the Website or any Content on or through the Website will be accurate, reliable or error free; or
- The quality of any Content obtained through the Website will meet your expectations.
Any Content accessed, downloaded, or otherwise obtained through the Website is at your sole discretion and risk. Terna will not be responsible for any damage to your computer system or loss of data resulting from the download or use of such Content.
Terna reserves the right to modify, update or monitor the use of the Website and the Content provided on or through the Website at any time without prior notice.
Terna will also not be responsible for any damage to your computer system or loss of data that results from the downloading or using Software components made available for download via trusted marketplaces.
- Limitation of Liability
In no event shall Terna be liable for any direct, indirect, incidental, special, or consequential damages, or damages for loss of profits, revenue, data, or data use, incurred by you or any third party, whether in an action in contract or tort, arising from your access to or use of the Website or any Content provided on or through the Website.
- Exclusions and Limitations
If certain jurisdictions do not allow the above disclaimer or the exclusion or limitation of certain warranties or liabilities, then, to the extent that such disclaimers, exclusions, or limitations are deemed legally invalid, they shall not apply. However, all other provisions of these Terms of Use shall remain in full force and effect.

You may not access, download, use, or export the Website, the Content provided on or through the Website, or the Software (including Software components available for download via trusted marketplaces) in violation of applicable export laws or regulations, or any other applicable laws or regulations.

The failure of Terna to exercise or enforce any rights or provisions in these Terms of Use shall not constitute a waiver of such rights or provisions. If any part or provision of these Terms of Use is found to be unenforceable, illegal, or invalid, it shall be modified and interpreted to achieve the objectives of the original provision to the fullest extent permitted by applicable law, and the remaining provisions of these Terms of Use shall remain in effect. The balance of the Terms of Use shall not be affected.
- Applicable Laws
All matters relating to your access to and use of the Website and the Content provided on or through the Website, or your use of our Software (including Software components made available for download via trusted marketplaces) shall be governed by the laws of Sweden.
All disputes arising out of or in connection with these Terms of Use shall first be attempted to be settled amicably. If the parties cannot reach a settlement, the dispute shall be finally settled by arbitration in accordance with the Rules of Arbitration of the Stockholm Chamber of Commerce. The arbitration will take place in Stockholm, and the proceedings will be conducted in English. Either party may enforce the award of the arbitral tribunal before any competent court.
